We're recruiting a Company Secretary for one of our clients, a leading building materials company in Ras al Khaimah, UAE.
About Our Client :
Our client is a well-established building materials company based in Ras Al Khaimah, UAE. They supply a wide range of construction and finishing materials to contractors, developers, and trading partners across the region. With a commitment to quality and reliable service, the company supports a diverse range of projects, from residential developments to large-scale commercial and industrial projects.
Key Responsibilities :
- Organize and coordinate meetings of the Board of Directors, shareholder meetings, and board committees
- Draft agendas, circulate board packs, and ensure accurate recording and distribution of minutes
- Advise the Board and senior leadership on corporate governance best practices
- Maintain statutory registers, records of resolutions, and company documentation
- Ensure timely filing of statutory returns and reports with relevant authorities (e.g., commercial registrars, investment authorities, stock exchanges, where applicable)
- Monitor and ensure compliance with company law, commercial law, labor law, and sector-specific regulations across operating jurisdictions
- Support corporate licensing, registration, and renewals across multiple jurisdictions within the MEA region
- Draft, review, and maintain corporate governance documents, including Articles of Association, board resolutions, and shareholder agreements
- Act as the point of contact with regulatory bodies, legal advisors, notaries, and auditors
Requirements
Bachelor’s degree in Law, Business Administration, or a related field (LLB preferred)Professional certification preferred (e.g., ICSA / CGI, Chartered Secretary, or equivalent)5+ years of experience in a governance, legal, or compliance role within a multinational, listed company, or diversified regional groupWorking knowledge of corporate law and regulatory requirements across MEA countriesBenefits
