Your Role :

Our client is seeking a proactive and detail-oriented Legal Counsel to oversee and manage the company’s legal and compliance functions. In this role, you will engage across a broad range of business areas, ensuring legal and regulatory compliance, managing contractual matters, supporting corporate governance, and guiding the business through strategic expansion and regulatory change.

This position is pivotal to driving operational excellence, mitigating risk, and supporting the company’s global growth. You will provide commercially astute, strategic legal advice, working on complex and often high-impact matters that shape the evolution of the business.

Key Responsibilities

Legal Advisory & Contracting

  • Draft, review, and negotiate a variety of commercial agreements.
  • Provide legal input on transaction structures in collaboration with business and operations teams.
  • Manage contract execution, amendments, and obligations.
  • Oversee DocuSign processes and electronic signature systems.
  • Handle NDAs and manage the legal inbox and routine legal inquiries.

Corporate Governance

  • Draft and coordinate board resolutions and corporate filings.
  • Manage corporate changes and reporting to relevant authorities.
  • Serve as secretary for executive risk committee meetings.
  • Develop and implement company-wide legal and operational policies.
  • Strategic Expansion & Projects

  • Lead legal support for new market entries, international expansion, and entity formation across multiple jurisdictions.
  • Oversee and coordinate corporate restructuring initiatives, ensuring compliance with relevant legal and regulatory frameworks.
  • Engage, manage, and collaborate effectively with top management, ensuring quality, cost-efficiency, and alignment with internal priorities.
  • Serve as the sole legal point of contact, providing end-to-end legal guidance across commercial, regulatory, and operational matters.
  • Operate independently with minimal oversight, demonstrating sound legal judgment and the ability to prioritise across competing business needs.
  • Preferred Experience :

  • Strong understanding of physical energy and oil trading is highly desirable.
  • Exposure to African and Asian markets is a plus, alongside relevant regional Middle East legal experience.
  • Employment Law & HR Support

  • Draft and review employment contracts and recruitment terms.
  • Advise on terminations and other employment-related legal matters.
  • Transactional Support

  • Support M&A, investment, and internal initiatives with legal due diligence and documentation.
  • Compliance & Regulatory

  • Lead end-to-end Know-Your-Customer (KYC) processes.
  • Conduct and manage background checks and escalate findings appropriately.
  • Manage compliance communications and support trade finance-related compliance.
  • Stay abreast of evolving regulatory regimes (e.g., MiFID, REMIT II).
  • Support teams with ongoing regulatory obligations.
  • Assist with IP registration, brand protection, and related legal processes.

  • Requirements

  • 3–7+ years PQE as a corporate lawyer, ideally from a top international law firm.
  • Secondment or in-house experience within a fast-paced or multinational environment is preferred.
  • Excellent communication skills and the ability to simplify legal language for commercial teams.
  • Responsive, diligent, and comfortable working autonomously and collaboratively.
  • Demonstrated ability to manage complex legal transactions and projects.
  • Proficient in identifying legal risks and delivering commercially viable solutions.
