Legal Counsel (Real Estate)

Job Title - Legal Counsel Location: Dubai, UAE Department: Legal Reports To: Head of Legal Employment Type: Full-Time Job Summary The Legal Counsel will oversee all legal aspects of the company's real estate transactions and operations. The role involves reviewing contracts, ensuring regulatory compliance, mitigating legal risks, and advising senior management on real estate development, leasing, acquisitions, and sales. The ideal candidate should possess strong legal expertise, commercial awareness, and the ability to work independently in a fast-paced real estate environment. Key Responsibilities Real Estate Transactions Draft, review, and negotiate contracts related to: Property sales Property purchases Leasing Real estate development Manage property registrations, Oqood processes, and title deed transfers with: Dubai Land Department (DLD) Other relevant authorities Corporate & Commercial Advisory Review and provide legal advice on: Memorandums of Understanding (MOUs) Corporate agreements Other commercial legal documents Regulatory Compliance Ensure compliance with: Real Estate Regulatory Agency (RERA) regulations Dubai Land Department (DLD) regulations Municipal regulations Free Zone regulations Monitor changes in UAE property, corporate, and commercial laws. Develop, implement, and maintain internal compliance policies and procedures. Dispute Resolution & Litigation Support legal proceedings involving: Property ownership disputes Tenancy matters Construction disputes Contractual breaches Coordinate with external legal counsel on: Litigation Arbitration Settlement negotiations Prepare legal notices, claims, and responses as required. Risk Management Identify, assess, and mitigate legal and commercial risks. Implement contractual safeguards and recommend appropriate insurance coverage where applicable. Contract Management Develop, standardize, and maintain contract templates for recurring business transactions. Stakeholder Support Provide legal guidance on marketing, sales, and leasing documentation. Ensure all business documentation complies with applicable laws and internal policies. Qualifications Bachelor's Degree in Law (LLB) or equivalent. Master's Degree or additional qualification in Real Estate Law is preferred. Experience 6–10 years of experience in real estate or property law. Minimum 3 years of legal experience within the UAE. Strong experience in: UAE Property Law Real Estate Transactions Corporate & Commercial Law Regulatory Compliance Required Skills Strong knowledge of: UAE Property Laws RERA Regulations Dubai Land Department (DLD) procedures Construction and Commercial Law Excellent legal drafting, negotiation, and analytical skills. Strong commercial acumen and strategic thinking. Excellent communication and stakeholder management abilities. Sound judgment with a practical, solution-oriented approach. Ability to manage multiple projects and work under pressure. High level of integrity and professional ethics. Fluent in English. Arabic language proficiency is an advantage. Additional Requirements Familiarity with offshore structures, Special Purpose Vehicles (SPVs), escrow laws, and financing instruments is beneficial.
